Executive Compensation

Nossaman's attorneys have extensive experience in cash and equity-based executive compensation plans, programs and agreements, including deferred compensation arrangements. 

We partner with senior management, management committees and compensation consultants in the design, implementation and administration of a wide spectrum of programs in the private (publicly traded and privately held) and public sectors – from simple incentive compensation arrangements to complex stock purchase, stock options, stock appreciation restricted stock, phantom stock, and other equity based reward programs.  In addition, we provide similar counsel to tax-exempt, government, and church employers.

Our expertise includes all aspects of compliance with the Internal Revenue Code, including Section 409A, the regulation of "parachute" arrangements, and related securities law issues, including the Section 16(b) insider rules.

We are able to address all phases of the employment (life) cycle – the design and implementation of programs that best meet business objectives and legal requirements to recruit, retain and incentivize key personnel, and address and severance, separation and "change of control."
