REPRESENTATIVE WORK
County of San Diego – North County Resource Recovery Facility Acquisition and Workout – A Nossaman attorney represented the County in connection with the acquisition and restructuring of debt for a large materials recovery facility. Work included drafting all transaction documents (acquisition and settlement agreements) and assisting in negotiations with the lender group and project owner/developer.
The Newhall Land and Farming Company – Chiquita Canyon Landfill – Nossaman provided counsel in connection with the sale of the Chiquita Canyon Landfill. We drafted and negotiated all transaction documents and coordinated closing of the sale, including the procurement of environmental insurance and permitting issues. Nossaman developed covenants, conditions and restrictions for the property and analyzed post-closing property operations and development in light of client's development of The Newhall Ranch.
County of San Diego – Solid Waste System Divestiture – A Nossaman attorney advised the County in its $180 million divestiture of its solid waste system and assets, the largest municipal divestiture of solid waste assets in the United States. The transaction included the sale of 4 landfills, 1 transfer station, 1 recycling center and other solid waste assets to Allied Waste. A Nossaman attorney structured and implemented the County's procurement process and also served as lead drafter and negotiator for the County on all aspects of the transaction and coordinated all due diligence and closed the multi-property escrow as scheduled. The sale of the assets was the first successful privatization of publicly owned landfill assets in recent years in California.
County of Sonoma – Solid Waste System Divestiture – Nossaman advised the County in connection with its potential divestiture of its solid waste system and assets. The transaction included the divestiture of the Central Landfill and 5 transfer stations and included long-term disposal arrangements. Nossaman coordinated all due diligence, helped develop and implement the County's procurement process and coordinated the activities of financial advisors advising the County. Nossaman prepared all procurement documents and drafted and negotiated the purchase and long-term disposal agreement with a proposer.
