Diana Parks is an infrastructure attorney, assisting clients with innovative procurements and contracts, including pre-development agreements for public-private partnerships (PPPs). She has particular experience advising and assisting public clients on developing procurement submittal requirements, contract provisions, appropriate risk allocation, as well as proposer evaluation, selection, and negotiation.

Ms. Parks also has experience advising public and private clients on infrastructure related real estate transactions.

Representative Work

Georgia Department of Transportation – PPP Program. Advising and assisting client in developing and implementing the Department's public-private partnership program. Responsibilities also include drafting and negotiating procurement and contract documents for selected PPP projects.

Gwinnett County – Ronald Reagan Expressway Project. Advising on the PDA drafting and negotiation for a proposed 3-mile, 4-toll lanes, and associated facilities along a northern extension of Ronald Reagan Parkway to Interstate 85, including an interchange with Interstate 85.

North Carolina Turnpike Authority – Mid-Currituck Bridge Project. Advising on the PPP procurement for a proposed 7-mile toll bridge facility to be newly constructed across the Currituck Sound connecting the mainland to the vacation destination of the Outer Banks. The pre-development agreement and an anticipated concession agreement cover the design, construction, financing, operation and maintenance of the facility.

Texas Department of Transportation – Comprehensive Development Agreement (CDA) Program. Member of the Nossaman team advising TxDOT on procurement strategies for its state-wide comprehensive development agreement program which includes design-build, PPPs and franchise/concession agreements. Individual projects include:

  • TTC-35 High Priority Corridor Project. Advised on the proposal evaluation process and participated in developing evaluation logistics and selection methodology.
  • SH 45 Southeast Project. Developed procurement and contract documents for this segment of the Central Texas Turnpike System. Lead attorney on the technical documents and technical provisions of the RFP.
  • Statewide Open-Road Toll Collection System Project. Advised and assisted with drafting procurement and contract documents. Lead attorney advising on the evaluation process. Lead attorney for CDA administration, including supplemental project segments.
  • IH 635 Managed Lanes Project. Advising on all aspects of the procurement and contract negotiations of a PPP for the $1+ billion, 25-mile managed lanes project in Dallas.
  • I-69/Trans-Texas Corridor. Assisting with the development of procurement and project financing strategies for a $150 billion, multi-decade program to create 4,000 miles of 1200-foot wide integrated passenger and truck highway, rail and utility corridors linking major cities in Texas with cities in other states and Mexico.

Orange County Transportation Corridor Agencies – San Joaquin and Foothill/Eastern Toll Roads. Assisted these agencies in their relocation of hundreds of utility facilities for development of their toll roads. Responsibilities included strategic planning, negotiating and drafting relocation agreements, analyzing cost liability issues, and addressing contractor claims.

Los Angeles County Metropolitan Transportation Authority. Assisting the agency with the development of cooperative agreements with local cities and utility owners impacted by the agency's transit projects.

Public Utility Work in Santa Fe, New Mexico. Represented a public utility company, as both an attorney and registered lobbyist, in the drafting of a state deregulation bill. Negotiated, on behalf of the City of Santa Fe, franchise agreements for electric utility and gas right-of-way, and sat as a mayor-appointed legal advisor and city liaison to the Electric Franchise Committee.
