Wayne Corbett

Wayne Corbett represents public and private companies, private equity firms and banks with commercial lendings and other complex financing transactions. He has extensive experience drafting, reviewing and negotiating secured and unsecured credit agreements, security agreements, guaranty agreements, control agreements, promissory notes, fee letters, term sheets, legal opinions, single and multi-member limited liability company agreements, royalty-based financing contracts and other ancillary documents. He also assists with organizing and supervising closings; providing ongoing advice and documentation to clients in connection with royalty-based financings and credit facilities; performing due diligence review of material contracts; and preparing diligence memoranda.

Prior to his legal career, Mr. Corbett was a Vice President of Project Management for Deutsche Bank.

Representative Work

Represented a private equity fund in financings of solar generating facilities for commercial industrial facilities located in Hawaii and Southern California.

Represented a private equity fund in multiple development financings of wind power energy assets in a variety of states, with several transactions structured as joint-ventures between the financier and the project company developer.

Represented a boutique investment house in its bid to secure financing for the acquisition of multi-state winery assets.

Represented a leading national bank as administrative agent and lead lender in connection with a $200 million real estate secured credit facility in favor of a major plastics manufacturer.
