Overview

Youju Min is an experienced infrastructure finance and development lawyer specializing in public-private partnerships and has worked in five major cities globally representing developers, sponsors, lenders, underwriters and government agencies in award-winning infrastructure projects across the world.

Youju has represented P3 clients from the RFI stage throughout commercial close and financial close in large complex P3 projects and worked with leading P3 financial advisors in devising innovative financing and securitization structures for P3 projects.

Prior to joining Nossaman, she worked in New York, Hong Kong and Tokyo offices of two top-tier international law firms.

Experience

Texas Department of Transportation – I-35 NEX Central Project. Key member of the legal team that advised on the procurement of the first phase of a proposed $2+ billion design-build-maintain project to manage vehicle congestion, promote efficient use of existing transportation facilities and improve regional mobility. This phase of the project included approximately 9.5 miles of non-tolled improvements that will include the construction of elevated general purpose and HOV lanes and direct connectors and the reconstruction and widening of existing lanes and bridges, as well as other operational improvements.

City of Inglewood – Inglewood Transit Connector Project. Key legal advisor to the City of Inglewood advising on all aspects of the $2 billion elevated fixed guideway rail project to connect LA Metro's Crenshaw Light Rail Line with the revitalized Market Street commercial area, the Kia Forum, the Intuit Dome and Sofi Stadium at Hollywood Park. We play key roles in strategic direction, project governance, legal authority, procurement planning and implementation for a DBFOM contract, property acquisition, financial planning, negotiating with third party stakeholders and the formation of a joint powers authority between the City and LA Metro to own and manage the project.

Arizona Department of Transportation – I-17 Flex Lanes Project. Key legal advisor to ADOT on an estimated $446 million project to add lanes along 23 miles of I-17 between Anthem Way and Sunset Point. ADOT procured the project under its public-private partnership procurement statute, and in 2021 completed procuring a design-build-operate-maintain contract. Flex lanes along eight miles of I-17 north of Black Canyon City will operate as a separate two-lane facility to carry one direction of traffic at any one time depending on need, with movable gates at both ends to control access.

Nevada Department of Transportation (NDOT) – Project Neon. Advised a shortlisted bidder in Project Neon – P3 Phase which consisted of constructing highway improvements in the City of Las Vegas, Nevada in their negotiation of project agreements.

Florida Department of Transportation – I-4 Ultimate Highway Project. Represented the sponsor consortium for the commercial and financial close of the $2.2 billion I-4 Ultimate Highway project. Awarded PFI 2014 Americas Transportation Deal of the Year and IJGlobal 2014 Americas Transportation Deal of the Year.

Maryland Transit Administration and Maryland Department of Transportation – Purple Line Light Rail Project. Member of the legal team advising on Maryland’s first transit P3 project, an approximately $2 billion light rail system to facilitate mobility between the Maryland suburbs and Washington, DC. The project reached commercial close in April 2016 and financial close in June 2016. The Purple Line’s financing plan included an $874 million TIFIA loan, $313 million in PABs, $138 million in private equity and approximately $900 million in federal New Starts funding. We also advise on the implementation of its settlement agreement with the concessionaire and the reprocurement of a design-build contractor to complete the project. Three shortlisted teams were announced in March 2021. 

Los Angeles Department of Public Works – Central Los Angeles Consolidated Recycling Transfer Station (CLARTS). Advisor to the Los Angeles City Attorney’s Office on two procurements by the City's Bureau of Sanitation for organics processing facilities, including one at Central Los Angeles Recycling and Transfer Station.

RCTC I-15 Express Lanes Project. Advisor to the Riverside County Transportation Commission in connection with the design and construction of I-15 Express Lanes, Express Lanes Connector and SR-91 Retrofit Project.

Ohio Department of Transportation – Portsmouth Bypass Project. Represented Portsmouth Gateway Group consortium from bidding stage to the commercial and financial close of the Portsmouth Bypass Project consisting of construction and finance of 16-mile highway in Scioto County, Ohio.

State Street Redevelopment Project. Represented the lenders in a hybrid bank and private placement financing structure in the State Street Redevelopment Project, which modified traffic patterns on State Street through the Purdue University campus by developing bike paths and pedestrian walkways. The Project reached commercial and financial close on an accelerated schedule within less than 8 weeks of announcement of the preferred bidder in 2016.

Commonwealth of Virginia – Transform 66 P3 Project. Advised the shortlisted bidder Express Partners in relation to the I-66 P3 Project to build express toll lanes and other improvements along 22.5 miles of Interstate 66 outside the Capital Beltway in Northern Virginia.

Howard County Circuit Courthouse. Advised a shortlisted bidder in connection with the consortium's bid of design, construction, financing, operations, maintenance and management services of the new Howard County Circuit Courthouse and parking structure in Howard County, Maryland.

Phoenix Metropolitan Area Freeway Lighting P3 Project. Key member of the team that advised a shortlisted bidder on the development and financing of the Phoenix Metropolitan Area Freeway Lighting Project. The project involved upgrading more than 19,000 luminaires from high-pressure sodium to LED technology with remote monitoring and controls, covering approximately 300 miles of controlled access highway throughout the greater Phoenix area.

Massachusetts Bay Transportation Authority (MBTA) – Automated Fare Collection System 2.0 Project. Represented Greater Boston Mobility Partners consortium as shortlisted bidder in connection with the Automated Fare Collection System 2.0 Project procured by the Massachusetts Bay Transportation Authority which replaces MBTA’s existing CharlieCard and CharlieTicket and allow riders to use smart phones, bank cards, and/or a new MBTA fare card to access all MBTA services.

JBIC and Japanese commercial banks – Various project finance transactions including:

  • Financing of a new-build LNG carrier to be chartered to Chubu Electric Power Co., Inc.
  • Financing of the modernization of a refinery plant in Kazakhstan.
  • Financing of Continuous Annealing and Processing Line in Jamshedpur, India.
  • Provision of buyer's credit to The Government of the United Republic of Tanzania.
  • Provision of loan facility to a Japanese steel company for the establishment of a continuous galvanizing line plant in Thailand.
  • Provision of loan facility to Nippon Steel Corporation for the establishment of a production facility for steel pipes in Mexico.
