Corporate Transactional Paralegal (Los Angeles)

We are seeking an experienced Corporate Transactional Paralegal to work closely with the Firm's Corporate, Healthcare, and Real Estate practice groups. The position entails commercial transactions, mergers and acquisitions, title searches, real property recordings, securities law compliance, and the formation and maintenance of corporate entities, partnerships and limited liability companies.  This position is located in the Los Angeles Office and reports to the Practice Support Director.

 
Key Responsibilities
 
  • Organize and manage documents, files, and other information and create procedures for ready retrieval of specific information and forms.
  • Coordinate securities law filings and information retrieval with the SEC and state securities law agencies.
  • Prepare regulatory paperwork needed by the SEC, IRS, UCC and other regulatory bodies.
  • Create and maintain organizational documents, including articles of incorporation or dissolution, stock certificates and merger agreements, as well as periodic reports as required by each organization.
  • Support the drafting and filing of merger and acquisition documents, real estate closings and a variety of contracts.
  • Coordinate numerous concurrent requests with filing services, title companies, and government agencies.
  • Conduct UCC forms search, including preparation and filing.
  • Maintain minute books, annual reports, as well as other documents needed for the ongoing maintenance of organizations.
  • Review deeds, trust deeds, title reports, title insurance policies and reconveyances.
  • Maintain the Firm’s annual registration compliance (e.g. annual reports) in California and other locations where the firm is doing business.
  • Communicate with case teams and department management on deadlines, project challenges, and overall project status.
  • Identify time- and cost-saving changes to existing workflows.
  • Participate in Firm and Practice Group meetings.
  • Provide recommendations to case teams for software and technology appropriate to each specific case.
  • Document project details in the applicable tracking systems.
  • Accurately and thoroughly track all time in appropriate time tracking systems, and create accurate descriptions of the work performed for client bills.
  • Maintain minimum 1,600 hour annual billable requirement.
  • Complete special projects when needed.
 
 Experience & Qualifications
 
  • Bachelor's degree and Paralegal certificate required.
  • 5+ years of relevant experience in corporate law and finance.
  • Strong understanding of corporate terms and specialized technological skills, including EDGAR and other on-line search and filing systems.
  • Possess the ability to consult with attorneys on entity formation and maintenance options.
  • Excellent attention to detail and strong organizational skills.
  • Ability to work efficiently in a fast-paced environment and coordinate multiple projects.
  • Exceptional grammar, spelling and proofreading skills are a must.
  • Must have the ability to work collaboratively as part of a team.
  • Superior communication skills and the ability to effectively engage with clients and attorneys at all levels.
  • Skilled at meeting strict deadlines under significant time constraints.
  • Able to handle multiple projects and priorities simultaneously with a high degree of professionalism and client service orientation.
  • A commitment to deliver the highest quality service to internal and external customers.
  • Ability to engage in off-site travel as required to meet job demands and firm needs on-site during normal working hours and available off-hours when necessary; a flexible schedule and some overtime will be required.
