Brandon Nguyen is an infrastructure attorney with substantial experience financing projects in the energy, water treatment and public utilities sectors. In addition, he also has experience representing clients in connection with public-private partnerships, real estate financings, leasing transactions and various secondary market transactions.
Prior to joining Nossaman, Brandon advised issuers, underwriters, private corporations and municipalities in all types of public finance and municipal securities transactions.
San Luis Obispo Regional Transit Authority – 2020 Credit Facility. Member of the legal team that advised San Luis Obispo Regional Transit Authority on an approximately $14.1 million credit facility provided by Pacific Western Bank. The loan proceeds will construct a new bus maintenance facility and will produce significant public benefits, including demonstrable savings in effective interest rate and debt issuance costs, along with significant reductions in effective user chargers levied by the authority for its transit service. Brandon’s services included advising on transaction and client organizational documents, drafting ancillary documents and overseeing closing logistics.
Port of Port Arthur Navigation District of Jefferson County, Texas Exempt Facilities Revenue Bonds – Emerald Renewable Diesel LLC Project. Member of the legal team that represented a private entity in connection with an approximately $315 million municipal bond issuance by the municipal issuer, the Port of Port Arthur Navigation District of Jefferson County, Texas on behalf of the borrower, Emerald Biofuels Renewable Diesel LLC, a subsidiary of Emerald Biofuels LLC (Emerald Biofuels). Proceeds of the bond issuance will be used to develop, construct, install, equip, commission, own and operate a biofuels production facility to be located in Port Arthur, Texas. Upon completion and start-up, the facility will convert solid waste, consisting of oils, fats, greases and other agricultural oils into commercial grade ultra-low sulfur diesel fuel and other co-products.
Dormitory Authority of the State of New York St. Joseph’s College – Revenue Bonds, Series 2020A. Key member of the legal team that represented a private entity in the underwriting of an approximately $17.2 million municipal bond issuance by the municipal issuer on behalf of the borrower, St. Joseph’s College, a private liberal arts college. The bonds were issued to refunding the total outstanding principal amount of St. Joseph’s College Revenue Bonds, Series 2010. A portion of the refunded bond proceeds will be used for new construction projects including a new NCAA regulation basketball court, men and women’s locker rooms, a fitness center, coaches suite and a mid-sized parking garage. Brandon’s services included advising on all aspects of the bond transaction, overseeing due diligence of borrower corporate and financial materials for the client’s underwriting team, and drafting a variety of transaction documents, including offering documents, bond purchase documents, client memoranda, legal opinions and closing documents.
American Water Works Company, Inc. 2019 Refunding Bonds. Key member of the legal team that represented the underwriters of three separate 2019 bond issuances for American Water Works Company, Inc. (American Water) across three different jurisdictions. The bonds totaled approximately $180 million and were issued by the County of Owen, Kentucky, the Illinois Finance Authority, and the Pennsylvania Economic Development Financing Authority on behalf of local subsidiaries of American Water. Brandon’s services included advising on the bond purchase documents, drafting offering documents, opinions and closing documents and supporting each client’s financial due diligence process.
