Senior Transactional Paralegal (Los Angeles)

We are seeking a highly skilled and experienced Senior Transactional Paralegal to support the Firm's transactional-focused practice groups, including Corporate, Real Estate and Infrastructure. This role provides substantive support throughout all phases of sophisticated commercial transactions, corporate governance matters, real estate transactions and public infrastructure procurements.

The ideal candidate is proactive, detail-oriented and capable of independently managing multiple complex matters while maintaining exceptional client service and attorney support. The successful candidate will work closely with attorneys, clients, government agencies, vendors and other third parties to facilitate transactions from inception through closing and post-closing activities.

This position is based in the Firm's Los Angeles office and follows the Firm's hybrid work schedule, with a minimum requirement of two days per week in the office. The position reports to the Senior Practice Support Services Director.

The hourly range for the position of Senior Transactional Paralegal at Nossaman is approximately $61.54 to $69.24 per hour. The successful candidate's annual compensation for this position is reasonably expected to be set between $120,000 and $135,000 per year. However, actual compensation will depend on a variety of factors, including, without limitation, the candidate's qualifications and experience.

Key Responsibilities

Transactional Support

  • Support all phases of corporate, commercial, real estate and infrastructure transactions, including due diligence, document preparation, execution, closing and post-closing activities
  • Develop and maintain closing checklists, transaction schedules, signature packets, closing binders, final closing sets and related transaction records
  • Coordinate transaction execution and closing logistics, including electronic signatures, delivery of closing documents and communication with clients, opposing counsel, title companies, registered agents, filing services, escrow companies, government agencies and other third parties
  • Conduct due diligence reviews; organize and maintain data rooms and document repositories; and prepare document inventories, summaries and reports for attorneys
  • Draft, revise, proofread, organize and maintain transaction documents, including agreements, resolutions, certificates, consents, schedules, exhibits and closing documents under attorney supervision

Corporate Governance and Entity Management

  • Form, qualify, merge, convert, dissolve and maintain corporations, limited liability companies, partnerships, nonprofit entities and other business organizations in multiple jurisdictions
  • Prepare and maintain organizational, governance, ownership and corporate records, including formation documents, bylaws, operating agreements, partnership agreements, resolutions, consents, certificates, minute books, annual reports and organizational charts
  • Prepare and coordinate state and federal regulatory filings, foreign qualifications, amendments, statements of information, business registrations, licensing requirements, certificates of status and good standing, certified copies, EINs and related governmental records
  • Assist with preparing, organizing and other business and/or regulatory licensing matters, including liquor licenses, applications, renewals, amendments and related regulatory submissions
  • Conduct UCC searches and prepare UCC financing statements, amendments, continuations, assignments and terminations
  • Assist with securities and regulatory filings, including EDGAR filings and related compliance requirements, as applicable
  • Assist attorneys and clients with corporate maintenance, governance matters and related entity management needs
  • Coordinate “Firm business” needs such as Nossaman business registrations, renewals, annual reporting and other similar tasks

Real Estate Transaction Support

  • Assist with acquisitions, dispositions, financings, leases, easements, development projects and other real estate transactions
  • Review, organize and maintain title reports, title insurance policies, deeds, deeds of trust, surveys, easements, reconveyances and related real property documents
  • Coordinate title, escrow, recording, due diligence, transaction checklists and closing deliverables with attorneys, title companies, escrow officers and recording agencies

Infrastructure and Public Procurement Support

  • Support attorneys involved in major public agency procurements and infrastructure projects
  • Assist with the preparation, organization, revision, issuance and conforming of procurement documents, contract packages, exhibits, schedules and supporting documentation
  • Maintain project schedules, tracking logs, responsibility matrices, work plans, procurement status reports, meeting notes and related project documentation
  • Assist with bond issues and other financing transactions

Project Management and Leadership

  • Independently manage multiple concurrent matters, anticipate attorney and client needs and consistently meet deadlines in a fast-paced environment
  • Serve as a resource for transactional procedures, entity management issues, state filings and closing administration
  • Delegate tasks to paralegals, vendors and other staff, as appropriate and assist with training and mentoring junior paralegals and other support personnel
  • Develop and maintain templates, checklists, procedures, best practices and workflow improvements to increase efficiency, consistency and cost-effectiveness
  • Evaluate, recommend and help implement technology solutions, including approved AI-enabled tools, to improve entity management, contract management, document organization, closing books, electronic signatures, transaction management and workflow efficiency, consistent with Firm policies
  • Collaborate and communicate with attorneys, clients and Firm management regarding deadlines, project challenges and matter status
  • Accurately and thoroughly record time and prepare detailed descriptions of work performed for client billing
  • Participate in Firm, department and attorney team meetings

Experience & Qualifications

  • Bachelor's degree, or equivalent experience, required
  • Paralegal certificate required
  • Must satisfy applicable California paralegal qualification requirements
  • Minimum of 7 years of transactional paralegal experience, preferably in a law firm environment
  • Significant experience supporting corporate transactions, due diligence, entity formation and maintenance, corporate governance, transactional closings and large-volume transaction document management
  • Experience supporting sophisticated real estate transactions strongly preferred; experience supporting infrastructure procurements, public-private partnerships, or other public agency transactions is a plus
  • Strong understanding of entity management, corporate governance, transactional documentation, regulatory filing requirements, UCC searches and filings and online filing systems, including EDGAR, preferred
  • Excellent project management, organizational, communication, proofreading, grammar, spelling and attention-to-detail skills
  • Ability to manage multiple priorities and deadlines with minimal supervision while exercising sound professional judgment and maintaining a strong client-service orientation
  • Advanced proficiency with Microsoft Office, PDF applications, document management systems, electronic signature platforms and collaboration tools
  • Familiarity with AI-enabled legal technology, automation tools, or workflow solutions and apply such tools responsibly to improve efficiency and accuracy
  • Ability to travel off-site on occasion and work a flexible schedule, including overtime, as required
