Overview

Brian Wilson represents clients on a wide range of executive compensation and employee benefit matters related to mergers, acquisitions, dispositions, private entity investments, restructurings, IPOs along with and other corporate transactions. He is experienced in drafting applicable portions of purchase agreements, transition services agreements, Code Section 280G golden parachute issues and equity rollover and cash-out agreements. Brian also advises clients on the securities law, corporate governance and disclosure implications of equity incentive plans which includes working to ensure such plans satisfy the Institutional Shareholder Services (ISS) approval guidelines.

In addition, Brian also provides counsel to clients on a wide range of legal issues arising under the Internal Revenue Code, Employee Retirement Income Security Act (ERISA), Health Insurance Portability and Accountability Act (HIPAA), the Affordable Care Act and other applicable state and federal laws. Brian frequently works with clients to ensure their benefit plans and compensation arrangements comply with sections 162(m), 280G and/or 409A of the Code.

Brian has worked with public and private companies on their tax qualified and non-qualified retirement plans, health and welfare plans and other employee benefit issues that were involved in various corporate transactions. He also represents and advises public pension plans throughout the United States in connection with public and private investments and other alternative investment opportunities.
