On October 14, 2020, Yuliya Oryol was a featured speaker during the Institutional Limited Partners Association's (ILPA) Virtual Private Equity Legal Conference. Yuliya spoke on a panel discussing "Side Letter Negotiations & Enforceability & Economic Impacts." This session included an overview of side letter negotiations and the MFN process and strategy. Panelists also discussed the purpose of side letters and common side letter provisions, including economic provisions, representations and warranties and notice rights.
The 2020 Virtual ILPA LCON provided the opportunity for legal and compliance professionals to learn from one another and discuss trending legal topics in the private equity industry. Content included a deep dive into ILPA's recently released Model LPA, as well as discussions on terms and negotiation strategies, tax issues and managing relationships, all through interactive group discussion.
