Aswini Endlur represents a variety of clients on a broad range of infrastructure projects and serves as a trusted legal and commercial advisor to clients navigating complex construction, financing and tax equity matters. She has led negotiations, overseen comprehensive due diligence, drafted complex documents and helped to close a wide range of project development and infrastructure projects in the U.S. and internationally. Her transactional experience includes drafting procurement, equipment supply, construction, operations & maintenance, financing, tax equity and other ancillary documents associated with such transactions.

Prior to focusing her practice to infrastructure, Aswini handled a variety of corporate and commercial transactions – particularly in the renewable energy industry and the critical minerals sector. Her experience includes advising clients in navigating complex construction, mergers and acquisitions (M&A), financing and tax equity matters for lithium, battery, solar and wind projects.

Experience

US Department of Energy (DOE). Key member of the legal team that advised the Department of Energy on financing of multiple construction projects, including construction of transloading terminals at a lithium mine in Nevada and production lines at electric battery manufacturing facilities located in Michigan, Indiana and Minnesota. Aswini assisted with conducting comprehensive diligence of the project construction documents and drafting and negotiation of term sheets, loan and collateral agreements for financing of a vast variety of DOE projects.

US Department of Commerce (DOC). Member of the legal team that advised the Department of Commerce on funding for increased production by Micron Technologies of semiconductor chips at its facility in Virginia. Aswini assisted with preparation of the term sheet and due diligence of the project documents.

Construction of wind turbine projects. Key member of the legal team that advised a prominent Danish wind turbine manufacturer on construction, operation and maintenance of multiple wind turbine projects across the United States of America and Canada. Aswini assisted with drafting of agreements for wind turbine purchase and sale, engineering, procurement and construction, service and maintenance and construction management for a majority of the North America portfolio of the client’s customers.

Construction of solar projects. Member of the legal team that advised multiple private solar project developers on construction, operation and maintenance of multiple solar projects across the United States of America. Aswini assisted with drafting of agreements for procurement of solar equipment and engineering and construction of solar projects.

Financing for construction of solar projects. Member of the legal team that advised prominent private equity funds on financing for construction of solar projects. Aswini assisted with conducting comprehensive due diligence of the construction documents, and drafting of term sheets, loan and security documents.

Sale of lithium. Member of the legal team that advised a leading American lithium company and a leading Norwegian energy company on offtake of lithium mined from a facility in Nevada. Aswini assisted with drafting and negotiation of lithium offtake agreements with multiple customers of the clients.
