Asally Adib-Samadian is a dedicated and reliable paralegal with over 15 years of experience, managing or working as a team member on various large projects. With an extensive background in business and regulatory licensing, she has worked closely with government regulators and law enforcement. Asally has provided legal support to counsel and clients on merger and acquisition matters as well as various development and real estate projects.
Prior to joining Nossaman, Asally worked as an in-house paralegal for a number of large companies, including a few publicly traded companies.
Asally provides general corporate paralegal assistance to attorneys and guidance to clients with respect to developing and existing companies (both profit and non-profit) as it relates to a variety of business and real estate transactional matters, including mergers and acquisitions, entity maintenance, corporate governance, and taxation issues.
Asally also assists attorneys with drafting and reviewing of purchase and sale agreements, lease agreements, preparation of finance closings, as well as Secretary of State and UCC filings and searches. She is also well versed in Lexis Nexis and conducts public searches to identify background on business entities and its business leaders for pre-litigation or intellectual property related matters.
ALCOHOLIC BEVERAGE AND CONTROLLED SUBSTANCES LICENSING & REGULATION
Asally’s experience also includes over a decade long practice of licensing, compliance, and regulatory matters for the hospitality, restaurant, entertainment, and alcohol industries, which include getting approvals for licensures from various alcohol regulatory agencies, including the California Alcoholic Beverage Control (ABC) and the U.S. Department of Treasury’s Alcohol and Tobacco Tax and Trade Bureau (TTB).
PUBLIC PENSIONS & INVESTMENTS
Asally’s experience has expanded since her tenure at Nossaman. She works closely with the firm’s Public Pensions & Investments team of attorneys and clients, representing public pension systems in connection with their alternative investments, including investments in private equity, venture, commingled real estate, infrastructure and hedge funds, and bringing those investment transactions matters to close. Asally routinely reviews and prepares investor questionnaires, including Know Your Customer (KYC) and CRS Self-Certification forms for entities as part of the subscription fund document packages.
Asally also works closely with attorneys within the Healthcare practice group. She prepares Professional Corporations for clients forming new businesses in the medical or chiropractic field, as well as prepares and files Fictitious Name Permits, whenever necessary. Since Asally’s forte and experience is closely connected to business and transactional matters, it is worth pointing out that in 2021, she worked on a Health Plan and IPA Merger and Sale as part of a team of multidisciplinary attorneys and legal professionals, to bring such transaction to close prior to year-end.
