Overview

Paul DeMuro, Ph.D., is a consultant and attorney who provides novel legal solutions to clients in the healthcare industry. He advises on complex mergers and acquisitions, joint ventures and business transactions that streamline healthcare, real estate and information technology operations. Paul also specializes in physician integration, including clinical integration and integration into organizations that hire physicians from traditional private practices.

He has counted among his clients accountable care organizations, hospitals, healthcare districts, physicians and managed care providers. He routinely resolves their complicated issues concerning data analytics, quality, value-based purchasing, managed care, accountable care, precision medicine, informatics, patient-generated health data, mHealth, privacy and security. Additionally, he has led their internal investigations and advised on matters concerning corporate governance, executive and physician compensation, regulatory compliance and public-private partnerships. In addition to facilitating board retreats, Paul has developed corporate reorganization strategies, served as an expert witness and worked as a data analytics consultant.

Beyond his extensive legal training, Paul is a certified public accountant (Maryland) who earned his Ph.D. in Biomedical Informatics and his M.B.A. with a concentration in finance. Having previously served as the Chief Legal Officer for Health and Wellness for a real estate developer in Miami, he understands the perspective of in-house counsel. This unique educational background, coupled with his many years of experience at an AmLaw 10 firm, allows him to provide myriad solutions to his clients’ complex legal and business issues, which is particularly relevant in today’s healthcare landscape.

Paul is also a former National Library of Medicine post-doctoral fellow in the Ph.D. program in Biomedical Informatics, Clinical Informatics track, Oregon Health & Sciences University, School of Medicine, Department of Medical Informatics and Clinical Epidemiology. His area of research was the use of informatics technologies to increase quality and reduce costs, and his area of research for his master’s degree was “Accountable Care,” long before many were focusing on the area.

In a career spanning more than four decades, he has authored more than 200 publications on various topics, such as accountable care organizations, biomedical informatics, clinical integration, mergers and acquisitions, capital finance, corporate governance, Medicare reimbursement, fraud and abuse and various healthcare issues. He has delivered more than 400 presentations around the world, including at the University of Manchester in London, and for such organizations as Medical Informatics Europe and MedInfo.

  • Served as a "legal architect" for the record-breaking joint venture transaction to lease and operate a first of its kind health and well-being center at Miami World Center, merging the best practices of hospitality and healthcare by leveraging the expertise of the developer in visionary properties with a health system's expertise in lifestyle medicine and a venture party's expertise in improving well-being by design
  • Worked on numerous restructurings of healthcare related entities and hospital turnaround projects
  • Worked on a multi-billion dollar acquisition of a physician network by a dialysis company
  • Addressed patient-generated health data privacy and security considerations, including penning an international survey on certain issues for an international informatics journal
  • Addressed FDA considerations for certain health information technologies, genetic testing, computerized decision support systems
  • Represented various clinical laboratories, including the sale of one to a publicly traded company
  • Represented management of the target in a healthcare publicly traded company sale to another company
  • Represented national physician practice management companies in numerous transactions, including an IPO, sale to Private Equity Sponsors, and numerous acquisitions
  • Worked on clinical integration and physician compensation projects, including with the objective of increasing the quality of care, reducing overall costs, but enhancing physician compensation
