Overview
Ron Grace, Co-Chair of Nossaman's Corporate Group, represents emerging and established companies as transactional and general corporate counsel with respect to a wide variety of business transactions. His work includes mergers and acquisitions, financings, private placements of debt and equity securities, general contract, securities, and healthcare law.
A significant portion of Ron's clients are involved in the healthcare industry.
Ron has a background in general corporate and technology matters, having served as in-house counsel and Vice President of Business Affairs for a start-up Internet company and a software company.
Prior to joining Nossaman, Ron was a Judicial Extern to the Hon. A. Andrew Hawk, Senior Judge, U.S. District Court, Central District of California.

Experience
Business Formations and Governance. Representation of clients in the formation and governance of new companies, including providing advice on choice of entity, preparing necessary formation documents such as partnership agreements, operating agreements and shareholder agreements, and issues relating to governance.
Mergers and Acquisitions. Representation of various organizations in restructuring and combinations with other organizations. Extensive experience in organizing and syndicating interests in joint ventures, including limited liability companies, partnerships and corporations.
Business Operations. Representation of clients in day to day operations, including assistance with financing, deal structuring, risk management, contract review and drafting and negotiation of contracts.
Exempt Securities Financings. Representation of clients in raising capital by the issuance of debt and securities in transactions exempt under Regulation D, Securities Act of 1933 and state securities laws.
Healthcare Transactions. Representation of owners, operators and managers of healthcare facilities, including ambulatory surgical centers, surgical hospitals and dialysis centers, in the acquisition and development of facilities throughout the United States. Expertise in all aspects of healthcare transactions, from due diligence through closing and beyond, including advising on compliance with healthcare laws such as the federal Anti-Kickback Statute and Stark Law.
