Kimberly Kamkar focuses on corporate governance and commercial transactions. She often works with entities from entity formation through mergers and acquisitions, to winding down a business.

In addition to her corporate practice, Kimberly regularly assists retailers, wholesalers and distributors in connection with alcoholic beverage license applications, transfers, compliance and regulatory matters.

Kimberly also represents institutional investors and pensions, benefits & investments systems in connection with alternative investments that involve various asset classes, including real estate, technology, private equity and hedge funds. Kimberly also advices pensions, benefits and investment systems on general corporate matters, including strategic planning, corporate maintenance, restructurings and dissolutions. In conjunction with her professional practice, Kimberly holds positions with the Women Lawyer’s Association of Los Angeles, as Director, Communications Officer and Chair of the Corporate Governance Committee.

Tax-Exempt Entities. Represents and advises tax-exempt entities in connection with formation, investment activities and associated "unrelated business income tax" issues, obtaining and maintaining tax-exempt status (including section 501(c)(3) charities, 501(c)(4) social welfare organizations, 501(c)(6) trade organizations and 509(a)(3) support organizations), compensation, private benefit and private inurement issues, fundraising and lobbying issues, private foundation excise taxes and public charity "excess benefit" excise taxes and affiliations with other tax-exempt entities and with for-profit entities.

Business, Corporate and Transactional Planning. Assists clients with formation, corporate maintenance, mergers and acquisitions, commercial transactions, issuance of equity or debt and exit strategies.

Tax Analysis. Regularly provides support concerning a wide variety of tax issues including possessory interest, documentary tax concerns, property tax compliance and mitigation and special assessments.
